TERMS OF SERVICE

1. Agreement to Terms

By downloading, accessing, or using the Prognozza mobile application ("App", "Service", or "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms constitute a legally binding agreement between you and Prognozza ("we", "us", or "our"). The App is available on iOS and Android platforms and provides AI-powered sports predictions and related services.

Age Requirement: You must be at least 18 years old or the legal age of majority in your jurisdiction to use this Service. By using our App, you represent and warrant that you meet this age requirement.

2. Description of Service

2.1 Core Services

Prognozza provides:

  • AI-generated sports match predictions and analysis
  • Statistical performance tracking and historical accuracy data
  • Betting strategies and recommendations (for informational purposes only)
  • Community features including forums and discussion boards
  • Premium subscription services for enhanced features

2.2 Entertainment Purpose

IMPORTANT DISCLAIMER: Our predictions and strategies are provided for entertainment and informational purposes only. They do not constitute professional advice, and we make no guarantees about their accuracy or success rate. Always gamble responsibly and within your means.

2.3 No Gambling Services

Prognozza does not facilitate gambling, accept bets, or process gambling transactions. We provide information and analysis only. Any gambling activities you engage in based on our content are at your own risk and subject to the laws of your jurisdiction.

3. User Accounts

3.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to immediately notify us of any unauthorized use of your account
  • One person may not maintain multiple accounts

3.2 Account Responsibilities

You are fully responsible for all activities that occur under your account, whether or not you authorized such activities. We are not liable for any loss or damage arising from your failure to protect your account information.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Multiple account creation
  • Extended periods of inactivity

4. Subscriptions and Payments

4.1 Premium Services

Prognozza offers premium subscriptions with additional features. By purchasing a subscription, you agree to:

  • Pay all applicable fees as described in the App
  • Automatic renewal unless canceled before the renewal date
  • Price changes with reasonable notice (existing subscriptions honored until renewal)

4.2 Billing

  • Subscriptions are billed through your app store account (Google Play or Apple App Store)
  • Payment processing is handled by third-party providers (RevenueCat and app stores)
  • All prices are in USD unless otherwise specified
  • Applicable taxes will be added as required by law

4.3 Refunds and Cancellations

  • Subscriptions can be canceled at any time through your app store account settings
  • Cancellation takes effect at the end of the current billing period
  • Refunds are subject to the policies of Google Play or Apple App Store
  • We do not provide refunds for partial subscription periods

Free Trial: If we offer a free trial, you will not be charged until the trial period ends. Cancel before the trial expires to avoid charges.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service
  • Harvest or collect information about other users
  • Transmit viruses, malware, or other harmful code
  • Impersonate another person or entity
  • Use the Service to promote illegal gambling where prohibited
  • Harass, abuse, or harm other users
  • Post spam, promotional content, or advertisements without permission
  • Violate any third-party rights, including intellectual property rights

5.2 Content Standards

User-generated content must not:

  • Contain false, misleading, or deceptive information
  • Be defamatory, obscene, or offensive
  • Promote discrimination, hatred, or violence
  • Violate privacy rights of others
  • Contain advertising or commercial solicitations

6. Intellectual Property Rights

6.1 Our Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and AI models, are the exclusive property of Prognozza or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal, non-commercial purposes
  • Download the App on approved devices you own or control

6.3 User Content License

By posting content to our Service, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with the Service.

6.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service becomes our property and may be used without compensation or attribution to you.

7. Third-Party Services

7.1 Third-Party Links

Our Service may contain links to third-party websites or services that are not owned or controlled by Prognozza. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

7.2 Sports Data

We use third-party sports data providers (TheSportsDB and others). This data is subject to their terms and may contain inaccuracies. We are not responsible for errors in third-party data.

7.3 App Stores

Your use of our App is also subject to the terms of service of the app store from which you download the App (Google Play Store or Apple App Store).

8. Disclaimers and Limitations of Liability

8.1 No Guarantee of Accuracy

THE PREDICTIONS, STATISTICS, AND INFORMATION PROVIDED BY OUR SERVICE ARE FOR ENTERTAINMENT PURPOSES ONLY. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT.

8.2 No Investment Advice

NOTHING IN OUR SERVICE CONSTITUTES FINANCIAL, INVESTMENT, OR PROFESSIONAL ADVICE. YOU SHOULD NOT RELY ON OUR PREDICTIONS FOR MAKING FINANCIAL DECISIONS. ALWAYS CONSULT WITH QUALIFIED PROFESSIONALS FOR SUCH MATTERS.

8.3 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PROGNOZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, or similar harmful code transmitted through the Service
  • Any errors or omissions in any content
  • Any losses incurred from gambling or betting activities

8.5 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID US IN THE LAST TWELVE (12) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS LESS.

8.6 Gambling Losses

CRITICAL: WE ARE NOT RESPONSIBLE FOR ANY LOSSES YOU INCUR FROM GAMBLING OR BETTING ACTIVITIES. YOU ACKNOWLEDGE THAT GAMBLING INVOLVES RISK AND YOU MAY LOSE MONEY. GAMBLE RESPONSIBLY AND ONLY WITH MONEY YOU CAN AFFORD TO LOSE.

9. Indemnification

You agree to defend, indemnify, and hold harmless Prognozza, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your use or misuse of the Service
  • Any gambling or betting activities you engage in
  • Content you post or share through the Service

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

10.2 Arbitration Agreement

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Delaware, and judgment on the award may be entered in any court having jurisdiction.

10.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTES SHALL BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

10.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

We implement appropriate security measures to protect your personal information, but we cannot guarantee absolute security. You acknowledge that you provide personal information at your own risk.

12. Modifications to Terms and Service

12.1 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

  • Update the "Effective Date" at the top
  • Notify you through the App or via email
  • Provide at least 30 days notice for material changes

12.2 Changes to Service

We may modify, suspend, or discontinue any part of the Service at any time without liability to you. This includes:

  • Adding or removing features
  • Changing prediction algorithms or methodologies
  • Modifying subscription plans or pricing
  • Discontinuing the Service entirely

12.3 Acceptance of Changes

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

13. Geographic Restrictions

The Service is intended for use by persons located in jurisdictions where such use is legal. We make no claims that the Service is accessible or appropriate outside of these jurisdictions.

Gambling Laws: You are responsible for determining whether your use of the Service complies with applicable laws in your jurisdiction, particularly regarding online gambling and sports betting. We do not encourage or facilitate illegal gambling.

14. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms which is due to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Prognozza regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is held to be unenforceable or invalid, the remaining provisions will continue in full force and effect.

15.3 Waiver

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term, and any failure to assert a right or provision shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15.5 Survival

Provisions that by their nature should survive termination of these Terms shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
